Shareholder Structure



1. Shareholders’ structure based on information provided to InBev as at 24 June 2008 by those shareholders who are compelled to disclose their shareholdings pursuant to the Belgian law relating to the notification of major shareholdings, the Articles of Association of the Company and based on the notifications made by the controlling shareholders in January 2008 according to article 74 of the Law of 1 April 2007.

2. A Shareholders Agreement between EPS, BRC and Stichting AK provides for equal voting and control rights of BRC and EPS over Stichting InBev and, indirectly, over InBev shares held by it.

3. Stichting AK, BRC, EPS, Rayvax, Sébastien Holding, Fonds InBev Baillet Latour and Fonds President Verhelst act in concert.

4. InBev SA/NV and its indirect subsidiary, Brandbrew, together hold 3.49 % of InBev shares as at 24 June 2008.

Disclosure by controlling shareholders

In addition to the notification thresholds required and set out by the Law of 2 May 2007, the notification obligation also applies as soon as the amount of held securities giving voting right exceeds or falls down the 3% threshold.
